Job purpose

The General Counsel will report to the CFO and have overall responsibility for the Group’s legal operations across the business. The lawyer will be responsible for all compliance matters and regulations, mitigating legal risks through the development, implementation, and monitoring of compliance across the organization. Your responsibilities as our General Counsel

• Providing legal and regulatory advice on all aspects of the business, covering governance, corporate and institutional legal matters, mitigating legal and financial risks.

• Providing support to the sales organisation to close contracts with clients finding the balance between managing risk and taking the commercial opportunities

• Ensuring compliance with all corporate law requirements for its legal entities including company secretary filings, in close collaboration with finance.

• Being up to date with the latest developments in relevant international legislation and regulations.

• Formulating, communicating, and supervising the strategy of the legal function.    

• Establishing due diligence processes and controls for managing relationships with vendors, suppliers, and third-party partners. Monitoring compliance risks associated with third-party activities and ensuring contractual obligations are met. Managing all compliance requirements for the Business, including preparing and maintaining policies to ensure compliance with GDPR, ethics including anti-bribery and anti-corruption, competition laws and emerging ESG regulations.

• Assisting with M&A transactions and execution .

• Developing and implementing crises management plans to address compliance-related emergencies or incidents.

         

Who are you as our General Counsel ? 

• At least 5 years experience as a legal professional.

• Strong technical knowledge and understanding of legal principles across a range of disciplines.

• Exceptional strategic thinker with superb judgment and business acumen. Ability to quickly absorb and synthesise new information, understand complex situations, grasp essential elements, and see their implications. Possess outstanding analytical skills along with the ability to conceptualise practical solutions.

• Able and willing to form independent judgements and stand their ground to progress the right outcome for the Business, while recognising the viewpoints of others and being proactive in formulating a resolution to difficult issues.

• Able to develop strong and trusted relationships with leaders within the Business.

• Knowledge of Belgian law is required
